1. Acceptance of Terms

By accessing or using DataRich ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

DataRich is a web-based platform that allows users to connect their Google Sheets and automatically generate shareable, live-refreshing dashboards. The Service includes chart visualizations, KPI cards, auto-refresh functionality, and shareable public dashboard links. DataRich is operated by DataRich Inc. ("Company," "we," "us," or "our").

3. User Accounts

To use the Service, you must register for an account by providing a valid email address and creating a password, or by authenticating through a supported third-party provider (such as Google). You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately at support@datarich.io of any unauthorized use

You must be at least 13 years of age to use the Service. By registering, you represent that you meet this requirement.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe the intellectual property rights of others
• Upload, transmit, or distribute malicious code or content
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Scrape, crawl, or systematically extract data from the Service without written permission
• Resell, sublicense, or redistribute the Service without written permission
• Use the Service to store or display content that is defamatory, obscene, or discriminatory

We reserve the right to suspend or terminate accounts that violate these standards without prior notice.

5. Subscription & Billing

DataRich offers both free and paid subscription plans. Paid plans are billed on a monthly or annual basis depending on the option selected at checkout.

• Auto-renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; no partial refunds are issued.
• Refunds: We offer a 7-day money-back guarantee on first-time paid plan purchases. Refund requests after this period are evaluated on a case-by-case basis.
• Price changes: We will provide at least 30 days' notice before changing subscription prices. Continued use after a price change constitutes acceptance.
• Taxes: Prices are exclusive of applicable taxes, which may be added at checkout based on your location.

6. Google Sheets & Your Data

DataRich accesses your Google Sheets data solely to render dashboard visualizations on your behalf. Specifically:

• We request read-only OAuth access to the specific spreadsheets you connect
• We cache a copy of your sheet data on our servers to enable fast dashboard loads and auto-refresh
• We do not sell, share, or use your sheet data for any purpose other than rendering your dashboards
• You may revoke Google access at any time from your Google account settings; doing so will disable data refresh for connected dashboards
• You retain full ownership of all data in your Google Sheets

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of DataRich Inc. and its licensors. You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying software.

You retain all rights to the data you upload or connect to the Service. By using the Service, you grant DataRich a limited, non-exclusive, royalty-free license to process your data solely as necessary to provide the Service.

8. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and share information about you. By using the Service, you agree that DataRich may collect and use information as described therein. We do not sell your personal information to third parties.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, DATARICH DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Uninterrupted, error-free, or secure operation of the Service
• Accuracy or completeness of any content or data displayed through the Service

DataRich does not guarantee any specific uptime SLA on the Free plan. Paid plans target 99.5% monthly uptime excluding scheduled maintenance.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DATARICH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. IN NO EVENT SHALL DATARICH'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DATARICH IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Termination

We may suspend or terminate your account and access to the Service at our sole discretion, without notice, if you:

• Violate these Terms or our Acceptable Use policy
• Fail to pay applicable fees
• Engage in conduct we determine is harmful to other users or the integrity of the Service

Upon termination, your right to use the Service ceases immediately. You may export your dashboard configurations prior to termination. We may delete your data 30 days after account termination.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by sending an email to the address on file at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
